Article I.
Basic Provisions

1. Tokaj wine route association (the "ZTVC) is a trade association of persons and entities to its membership interested in the development of Slovak Tokaj micro-region, particularly its traditional economic sectors, cultures and their use for tourism development.
2. The Association is a non-profit legal entity established under the provisions of Act no. 83/1990 Coll. the association of citizens.
3. Association name: Association of Tokaj Wine Road
The official abbreviation is ZTVC

5. Interest Tokaj Wine Road area for the purposes of the association defines as the territory of villages Bara, Bors, Čerhov, blacks, Ladmovce, Little Tŕňa, Slovak New City, United Tŕňa, Viničky, galleries and city Trebišov.

Article II.
The aim and object of ZTVC

1. The ZTVC is actively involved in regional development in Slovak Tokaj vinohradíckej the area and the adjacent territory, with particular emphasis on the development of wine and local culture and their association with tourism and other activities that contribute to the overall development of the region.

2. ZTVC business activities are:
a) promoting sustainable development of the Tokaj wine region with an adjacent area,
b) the collection and use different sources for the implementation of development projects,
c) the acquisition, processing and providing information on tourism,
d) coordination of activities and tourism services
e) promotion of tourism attractions and culture of the Tokaj wine region,
f) presentation of regional trade fairs and exhibitions;
g) organization of conferences, seminars, exhibitions and cultural events;
h) advertising in the promotion of the region
i) surveys and analysis in conjunction with the objective of the activity,
j) participation in the development of concepts and regional development plans in relation to the purpose of the ZTVC,
k) organizing and providing training, advice and methodological assistance in the tourism, wine and regional development,
l) to promote the principles of protection of environment for the preservation of traditional rural landscapes,
m) the development and protection of spiritual values in relation to activities ZTVC, cooperation in the development and implementation of certification services subject to special rules,
n) editorial, publishing,
o) interregional and external cooperation

3. ZTVC action will in particular follow-up work program approved by the General Assembly ZTVC.

Article III.
Membership

1. ZTVC full member may be any natural or legal person residing, residence or use of influence in the territory of the Tokaj wine route, which agrees with the statutes and ZTVC ZTVC contribute to the activity.

2. ZTVC associate member can become a natural or legal person wishing to participate in the ZTVC but not resident or established in the investigated territory TVC.

Article IV.
The rights and obligations of members

2.Základnou duty member is set to pay membership fees to comply with statutes ZTVC and participate in the ZTVC approved by the Programme of Action.

3.Riadny člen ZTVC has to decide on GA ZTVC a vote, which may, by written authorization to transfer an individual case to another full member ZTVC.

4.Mimoriadny ZTVC member to attend meetings of the GA ZTVC, eventually. ZTVC meetings of the bodies in an advisory capacity, may vote or be elected with the exception of the Supervisory Board.

Article VI.
General assembly

2. General Assembly approved a resolution decided by a simple majority of members present and a quorum when more than half the full participation of all members ZTVC to 15 minutes after the announced start of its proceedings. If that is not present in a majority of members on 30 minutes after the announced start, held the replacement of the GA, which is capable of quorum in the number of members present.

3. General Assembly convened by the President ZTVC written invitation at least once a year. The notice must be sent in advance. The Extraordinary General Assembly shall ZTVC President called upon if requested by at least one third of full members ZTVC, within 30 days of receipt.

Article VII.
  Council ZTVC

1. Council ZTVC
1. coordinates and directs the activities of members and ZTVC ZTVC operation in accordance with the Programme of activities
2. ensure the implementation of General Assembly resolution ZTVC,
3. prepare annual budget and accounts management
4. decide on the admission and elimination ZTVC members,
5. draw up action plans,

2. ZTVC Council is composed of at least five elected members, elected by the General Assembly. Council members also ZTVC ZTVC President who convened the meeting.

3. Council ZTVC within his term of office elects the Vice ZTVC representing ZTVC President during his absence.

4. ZTVC Council constitutes a quorum for the participation of a qualified majority of its members at the meeting and by a majority of members present.

5. Council ZTVC term is two years.

6. In the event of resignation, death or ZTVC member of the Council, the Council may co-opt a new member at its own discretion, subject to additional approval ZTVC GA.

7. ZTVC Council shall meet as necessary but at least once every two months. Council meeting convened by the President ZTVC ZTVC a written invitation. ZTVC President shall convene the Council ZTVC if requested to do so at least three of its members.

8. ZTVC Council may establish an agenda for conducting an administrative office, respectively. entrust its management contract to another person.

Article IX.
Supervisory Board

1. ZTVC Supervisory Board is the supreme audit institutions ZTVC. It has three members appointed and dismissed by the GA ZTVC. The Supervisory Board shall be elected by the ordinary and extraordinary members ZTVC.

2. Chairman of the Supervisory Board elected by the Supervisory Board members from among themselves.

3. The Supervisory Board is responsible for operating the GA ZTVC.

4. President DR ZTVC be compulsorily attend meetings of the Council ZTVC with an advisory vote. In his absence he is represented by a member of the Supervisory Board ZTVC.

5. The Supervisory Board performs ZTVC:
1. check the efficiency and effectiveness of the management of ZTVC
2. monitor compliance management ZTVC and other generally binding regulations and standards in the management of assets ZTVC,
3. monitor compliance with statutes and other internal systems ZTVC,
4. of the implementation of General Assembly resolution ZTVC, ZTVC work of the Council and the President ZTVC
5. control measures to eliminate shortcomings identified in the activities of ZTVC.

Article X.
  Managment ZTVC

1. ZTVC is a legal entity responsible for its obligations its assets. Property ZTVC are membership fees, income from donations from their business activities and other sources.
2. The assets managed by the Council ZTVC ZTVC management under the rules adopted by the General Assembly and ZTVC ZTVC budget, approved before the financial year the Council and subsequently ZTVC ZTVC GA.
3. In case of termination shall ZTVC liquidator liquidation of its assets under generally applicable laws.

Article XI.

Transitional and Final Provisions

1. ZTVC cease if the participation of members in more than half ZTVC decided by three-fifths majority of those present participants ZTVC GA. The resolution on the termination ZTVC must include the disposal by the disposal of property ZTVC.
2. In the event that the initiative of the President or the Council fails to convene the General Assembly ZTVC ZTVC six months so that the quorum for the adoption of such a decision is to decide termination ZTVC ZTVC Council.
